Terms & Conditions

Last updated: July 2026. These Terms & Conditions govern your use of this website and the engagement of services from Hilogic Technologies Pvt Ltd (formerly Vdot Technologies).

1. Acceptance of Terms

By accessing this website or engaging Hilogic Technologies Pvt Ltd, formerly known as Vdot Technologies ("Hilogic," "we," "us," or "our"), for services, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use this website or engage our services.

2. About Hilogic Technologies

Hilogic Technologies is a global technology consulting company providing digital product engineering, ERP solutions, migration, re-engineering, technology solutions, artificial intelligence, platform & integrations, digital transformation, support services, GCC-as-a-Service, and PE consulting services, with offices in Chennai (India), Dubai (UAE), and Austin (USA).

3. Scope of Services

The specific scope, deliverables, timelines, and fees for any engagement will be defined in a separate written proposal, statement of work, or master services agreement ("Agreement") signed by both parties. In the event of any conflict between these Terms & Conditions and a signed Agreement, the Agreement will govern for that engagement.

4. Intellectual Property Rights

Unless otherwise agreed in writing:

  • Upon receipt of full and final payment for a project, ownership of the custom code, designs, and deliverables created specifically for the client under that engagement transfers to the client.
  • Hilogic retains ownership of its pre-existing tools, frameworks, libraries, methodologies, and any general-purpose components used to deliver the work, and grants the client a non-exclusive license to use such components as embedded in the delivered solution.
  • Third-party software, platforms, and licensed components (e.g., Odoo, cloud platforms) remain subject to their respective owners' license terms.
  • All content on this website, including text, graphics, and the Hilogic name and logo, is the property of Hilogic Technologies and may not be reproduced without permission.

5. Client Responsibilities

Clients are responsible for providing timely access, information, approvals, and resources reasonably required for Hilogic to perform the agreed services. Delays caused by incomplete or late client input may affect project timelines and are not attributable to Hilogic.

6. Payment Terms

Fees, invoicing schedules, and payment methods are specified in the applicable Agreement or proposal. Unless otherwise agreed, invoices are due within the period stated on the invoice, and Hilogic reserves the right to suspend services for accounts with significantly overdue payments.

7. Project Timelines and Delays

Project timelines communicated by Hilogic are good-faith estimates based on information available at the time. Timelines may be affected by factors outside our reasonable control, including delayed client feedback, scope changes, third-party dependencies, or force majeure events. Hilogic will communicate material schedule changes as soon as reasonably possible.

8. Confidentiality

Each party agrees to protect the other's confidential information disclosed during an engagement using the same degree of care it uses for its own confidential information, and not to disclose it to third parties except as necessary to perform the services or as required by law.

9. Warranties and Disclaimers

Hilogic will perform services in a professional and workmanlike manner consistent with generally accepted industry standards. Except as expressly stated in a signed Agreement, services and website content are provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose.

10. Limitation of Liability

To the maximum extent permitted by law, Hilogic's aggregate liability arising out of or relating to an engagement will not exceed the fees paid by the client for the specific services giving rise to the claim in the preceding twelve (12) months. Hilogic will not be liable for indirect, incidental, special, or consequential damages, including loss of profits or data.

11. Termination

Either party may terminate an engagement as set out in the applicable Agreement, typically with written notice. Upon termination, the client will pay for all services performed and expenses incurred up to the effective date of termination.

12. Governing Law and Jurisdiction

These Terms & Conditions and any engagement with Hilogic Technologies Pvt Ltd are governed by the laws of India. Subject to any dispute resolution clause in a signed Agreement, the courts of Chennai, Tamil Nadu shall have exclusive jurisdiction over any dispute arising out of or relating to these terms.

13. Changes to These Terms

We may update these Terms & Conditions from time to time. Changes take effect once posted on this page, and the "Last updated" date will reflect the most recent revision. Continued use of the website after changes are posted constitutes acceptance of the revised terms.
